These Terms of Service ("Terms") govern your access to and use of all websites, platforms, applications, educational resources, newsletters, consulting services, mentorship programs, digital content, AI-powered tools, and related services provided by Premie Insight, Inc. ("Company," "we," "our," or "us"), including Premie PA Insight and Neonatal Study Buddy ("NSB") (collectively, the "Services"). By accessing or using any Service, you agree to be bound by these Terms and our Privacy Policy, available at www.premiepainsight.com/nsblegal.
Two Platforms — One Legal Entity
Premie PA Insight provides human-delivered career mentorship, professional development, consulting, webinars, newsletters, and related services for healthcare professionals.
Neonatal Study Buddy (NSB) is an AI-powered web-based clinical education platform for neonatal clinicians and trainees. NSB-specific terms are marked throughout this document.
Both platforms are operated by Premie Insight, Inc., a New York corporation. Where terms differ between platforms, those differences are noted explicitly.
1. Eligibility
To access or use any Service, you must: (a) be at least 18 years of age; (b) be legally capable of entering into a binding contract; (c) provide accurate, complete, and current account information; and (d) not be barred from using the Services under applicable law.
Our Services are designed for adults engaged in healthcare professional education, career development, or clinical training. By registering or using any Service, you represent and warrant that you meet these eligibility requirements. If you do not meet these requirements, you may not access or use our Services.
Our Services are not directed at individuals under the age of 18. We do not knowingly collect personal information from users under 18. If we become aware that a user under 18 has created an account, we will terminate that account.
2. Services Overview
2.1 Premie PA Insight
Premie PA Insight provides educational, professional development, mentorship, consulting, and informational resources intended to support healthcare professionals, students, and organizations. Services may include:
Career mentorship and professional development coaching
Career consultation sessions (individual and organizational)
Resume, CV, interview preparation, and job search guidance
Fellowship application guidance
Leadership and career transition support
Webinars, courses, and educational programming
Newsletters and digital content
Workforce development and organizational consulting
2.2 Neonatal Study Buddy (NSB)
Neonatal Study Buddy is an AI-powered web-based clinical education platform providing:
Case-based neonatal clinical learning scenarios
Physiology instruction and teach-back modules
Red flag recognition exercises
Multiple choice question (MCQ) practice
AI-assisted tutoring and real-time educational feedback
Subscription-based clinical content (when available)
Institutional and program-level access arrangements
NSB is designed for neonatal clinicians, trainees, nursing and NP/PA students, and early attending physicians. It is an educational platform and is not a clinical decision support tool. See Section 5 for NSB-specific terms.
3. Educational Purposes & No Professional Advice
3.1 Educational Nature of Services
All content and services provided by Premie Insight, Inc. — through Premie PA Insight, Neonatal Study Buddy, or any other Company platform — are provided for educational and informational purposes only. Content is not intended to constitute, and should not be interpreted as:
Medical, clinical, or patient-care advice of any kind
Legal, employment law, or regulatory advice
Financial, tax, or investment advice
Mental health, counseling, or therapeutic services
Standards of care or clinical protocols
Institutional policy or supervisory guidance
Users remain solely responsible for all decisions made based on information obtained through our Services. No content provided through any Company Service replaces the advice of qualified professionals in the relevant field.
3.2 Clinical Education Disclaimer — Incorporated by Reference
The Premie Insight, Inc. Clinical Education Disclaimer is fully incorporated into these Terms by reference and applies to all educational content across both platforms. Key provisions reproduced here for convenience:

All educational content is for informational and educational purposes only. It does not constitute medical advice, patient-specific recommendations, diagnosis or treatment guidance, clinical directives, or standards of care.
Healthcare professionals remain solely responsible for exercising independent clinical judgment and for complying with the policies, procedures, credentialing standards, and regulations applicable to their institution, employer, jurisdiction, and professional license.
Users must independently verify all clinical information using current literature, institutional guidelines, and applicable regulations before applying it in practice.
Use of any Company Service does not create a physician-patient, provider-patient, supervisory, attorney-client, therapist-client, or fiduciary relationship of any kind.

3.3 No Guarantee of Results
Premie Insight, Inc. makes no guarantees regarding:
Employment, job placement, or career advancement
Fellowship acceptance or credentialing decisions
Salary, compensation, or promotion outcomes
Business or organizational outcomes
Clinical examination performance or certification
Educational outcomes from use of any platform
Individual outcomes vary and depend on numerous factors outside Company's control. All career, professional, and clinical decisions remain the sole responsibility of the user.
4. Accounts & User Responsibilities
4.1 Account Registration
Certain Services require account registration. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at PremieInsight@gmail.com if you suspect unauthorized access to your account.
4.2 User Conduct — All Services
By using any Service, you agree not to:
Violate any applicable federal, state, local, or international law or regulation
Misrepresent your identity, credentials, or professional qualifications
Impersonate any person or entity, including healthcare professionals or Company personnel
Interfere with, disrupt, or damage the operation of any Company website or platform
Upload, transmit, or distribute malicious software, viruses, or harmful code
Attempt unauthorized access to any Company system, account, or data
Scrape, crawl, or systematically extract content from any Company platform
Reverse engineer, decompile, or attempt to extract the source code of any platform or AI system
Use any Service for unlawful purposes or to facilitate illegal activity
Harass, threaten, or harm other users
Use Company content to train competing AI or machine learning systems
4.3 User Conduct — NSB Specific
In addition to the above, NSB users specifically agree not to:
Enter protected health information (PHI), real patient data, patient identifiers, medical record numbers, or any personally identifiable clinical information into any platform feature
Rely on AI-generated educational content for clinical decision-making without independent verification through current clinical references and institutional protocols
Share account credentials with other users
Attempt to manipulate, prompt-inject, or otherwise interfere with the AI system to produce outputs outside the intended educational scope
PHI Prohibition — NSB
Neonatal Study Buddy is an educational platform and is not designed to receive, store, or process protected health information. It is not a covered entity or business associate under HIPAA. Do not enter real patient data under any circumstances. Any PHI inadvertently submitted will be treated as general user content subject to deletion.
5. Neonatal Study Buddy — Platform-Specific Terms
5.1 AI-Generated Content
You acknowledge and agree that:
NSB uses a large language model (LLM) — a probabilistic AI system — to generate educational responses. Outputs are not deterministic and may vary between sessions
AI-generated content may contain errors, omissions, outdated information, or oversimplified explanations and must be independently verified before application in any clinical context
AI responses reflect training data with a knowledge cutoff and may not incorporate recent developments in neonatal medicine, clinical guidelines, or regulatory standards
When you use AI-powered features, your inputs are transmitted to a third-party LLM provider to generate responses, in accordance with our Privacy Policy
Premie Insight, Inc. expressly disclaims all liability for clinical or professional decisions made in reliance on AI-generated educational content
5.2 Institutional & Program Access
NSB may be accessed through institutional or program-level licensing arrangements with universities, healthcare institutions, training programs, and professional organizations. Where institutional access is provided:
User accounts will be associated with the sponsoring institution; users will be informed of this association at registration
Authorized program administrators may receive limited educational analytics as described in our Privacy Policy
Institutional participation does not grant organizations access to private AI conversations, personal account credentials, or billing information
Users accessing NSB through institutional arrangements remain individually bound by these Terms
5.3 NSB Clinical Education Disclaimer
All NSB content — including AI-generated responses, case scenarios, physiology modules, MCQ practice questions, and tutoring sessions — is educational simulation designed to support clinical reasoning practice. These materials do not represent real patient cases and must not be interpreted as clinical guidance, medical directives, or standards of care.

6. Subscriptions & Payments
6.1 Paid Services
Certain Services — including NSB subscription tiers, individual courses, and Premie PA Insight consultation services — are available for purchase. Fees are described at the point of purchase and are subject to change with notice.
6.2 Payment Processing
Payments are processed through Stripe, our PCI-compliant payment processor. Premie Insight, Inc. does not store complete credit card numbers or sensitive payment card data on its servers. By providing payment information, you authorize us to charge your payment method for the applicable fees.
6.3 Subscriptions & Auto-Renewal
Automatic Renewal Notice
Subscription-based Services automatically renew at the end of each billing period at the then-current subscription rate. You will be charged to your payment method on file unless you cancel before the renewal date.
To cancel, log into your account and navigate to Subscription Settings, or contact us at PremieInsight@gmail.com before the renewal date. Cancellation takes effect at the end of the current billing period; access continues until that date.
6.4 Refunds
Subscription fees and course purchases are generally non-refundable except where required by applicable law or as expressly stated at the time of purchase. For consultation service cancellation and refund terms, see the Career Consultation Services Agreement at www.premiepainsight.com/nsblegal.
6.5 Consultation Services — Payment & Cancellation
Consultation services are governed by the Career Consultation Services Agreement, which is incorporated into these Terms by reference and available at www.premiepainsight.com/nsblegal. Key terms:
Consultation fees are due prior to services being rendered
Cancellations made at least 24 hours before the scheduled session are eligible for a full session credit (valid 90 days)
Cancellations made less than 24 hours before the session and no-shows result in forfeiture of the session fee
If Company must cancel with less than 24 hours notice, Client receives a full credit or refund upon written request
7. Intellectual Property
7.1 Company Ownership
All website content, educational materials, graphics, branding, logos, text, downloadable resources, videos, presentations, frameworks, proprietary methodologies, software, platform design, and AI-generated educational content produced through Company systems are the property of Premie Insight, Inc. or its licensors, unless otherwise noted.
AI-generated outputs produced through NSB are generated using Company-operated systems and are owned by or licensed to Premie Insight, Inc.. User access to AI-generated educational content through the platform does not transfer ownership of that content to the user.
7.2 License to Users
Subject to your compliance with these Terms, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use Company content solely for your own personal educational and professional development purposes. This license does not permit:
Commercial use or resale of any Company content
Redistribution, sublicensing, or public display of Company materials
Use of Company content to train AI or machine learning models
Removal or alteration of any copyright, trademark, or proprietary notices
7.3 User-Submitted Content
Where Services allow users to submit content (feedback, forum posts, consultation intake information), you retain ownership of original content you submit. By submitting content, you grant Premie Insight, Inc. a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content within the platform and in connection with our educational mission.
You represent that you have all rights necessary to grant this license and that your submitted content does not infringe the rights of any third party.
7.4 DMCA — Copyright Infringement
Premie Insight, Inc. respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe that content on any Company platform infringes your copyright, please submit a DMCA takedown notice to our designated Copyright Agent:

A valid DMCA notice must include: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the infringing material and its location on the platform; (4) your contact information; (5) a good-faith belief statement; and (6) a statement under penalty of perjury that the information is accurate and you are authorized to act. Counter-notifications are available upon request.
8. Third-Party Links & Services
Our websites and platforms may contain links to third-party websites, tools, or services (including podcast platforms, scheduling tools, payment processors, and external educational resources). Premie Insight, Inc. is not responsible for the content, privacy practices, security, availability, or actions of third-party websites or services.
Links to third-party sites do not constitute endorsement of those sites or their content. We encourage you to review the privacy policies and terms of any third-party services you access through our platforms.
9. Community Features
Not Yet Active
Community discussion forums, blog commenting, and user-generated content features are planned but not yet live. This section governs those features when launched. Registered users will be notified by email before community features become active.
When community features launch, additional terms will apply, including:
User-generated content may be visible to other registered users or the public, depending on feature configuration
You retain ownership of original content you submit; Company receives a license to display and distribute it within the platform and for educational promotion
You must not post PHI, patient identifiers, or content that infringes third-party rights
Company reserves the right to moderate, edit, or remove content that violates these Terms
Content posted by community members represents individual user opinions and does not constitute medical advice or the position of Company

10. Disclaimer of Warranties
Services and content are provided on an "as is" and "as available" basis, without warranties of any kind. To the fullest extent permitted by applicable law, Premie Insight, Inc. expressly disclaims all warranties, express or implied, including:
Warranties of merchantability or fitness for a particular purpose
Warranties of accuracy, completeness, or currency of educational content
Warranties that the Services will be uninterrupted, error-free, or secure
Warranties that AI-generated content will be accurate, current, or appropriate for any specific use
Warranties of non-infringement
No oral or written information or advice given by Company or its representatives creates a warranty not expressly stated in these Terms.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Premie Insight, Inc. and its officers, directors, employees, contractors, affiliates, and representatives shall not be liable for any indirect, incidental, consequential, special, punitive, or economic damages arising from or related to use of any Service, including:
Clinical or professional decisions made in reliance on educational content or AI outputs
Career, employment, or business outcomes
Loss of data or unauthorized access to your account
Service interruptions or platform unavailability
Third-party content or services accessed through Company platforms
Company's total cumulative liability for any claims arising out of or relating to these Terms or any Service shall not exceed the greater of: (a) the total fees paid by you to Premie Insight, Inc. in the 12 months immediately preceding the claim, or (b) $50.00.
Some jurisdictions do not allow exclusion of certain warranties or limitations on certain types of damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Premie Insight, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Your use of or access to any Service in violation of these Terms
Your submission of prohibited content, including PHI, to any platform
Your reliance on AI-generated educational content in a clinical or patient-care context
Your infringement of any intellectual property or other rights of any person or entity
Any third-party claim arising from your use of the Services
13. Termination
Premie Insight, Inc. may suspend or terminate your access to any or all Services at any time, with or without notice, for any conduct that we believe violates these Terms, is harmful to other users or the Company, or for any other reason at our discretion.
Upon termination, your license to use the Services ceases immediately. Sections that by their nature should survive termination — including Sections 7 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law) — shall survive.
You may terminate your account at any time by contacting us at PremieInsight@gmail.com. Account deletion is subject to our data retention practices described in the Privacy Policy.
14. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or any Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Westchester County, New York. You consent to personal jurisdiction in such courts and waive any objection to the laying of venue therein.
For disputes involving amounts within the jurisdictional limits of New York's small claims court, either party may elect to resolve the dispute in small claims court in lieu of the above process.
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
15. General Provisions
15.1 Entire Agreement & Integration
These Terms, together with the Privacy Policy, Clinical Education Disclaimer, and (where applicable) the Career Consultation Services Agreement, constitute the entire agreement between you and Premie Insight, Inc. with respect to the Services and supersede all prior discussions, representations, understandings, and agreements. All of these documents are available at www.premiepainsight.com/nsblegal.
15.2 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
15.3 Waiver
Failure by Premie Insight, Inc. to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. No waiver is effective unless made in writing.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Premie Insight, Inc. may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, with notice to users.
15.5 Electronic Acceptance
By creating an account, making a purchase, or clicking any acceptance button, you agree that such electronic actions constitute a valid, binding agreement under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the New York Electronic Signatures and Records Act (ESRA).
15.6 Force Majeure
Premie Insight, Inc. shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, power failures, cyberattacks, internet outages, pandemics, or government actions.
16. Changes to These Terms
Premie Insight, Inc. may update these Terms at any time to reflect changes in our services, practices, or applicable law. We will indicate the date of the most recent revision at the top of this page. Material changes will be communicated through:
Email notification to your registered address
In-app or on-site notices
Your continued use of any Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to updated Terms, you should discontinue use and may request account deletion. We will not apply material changes retroactively without your consent.
